Introduction
These Terms and Conditions govern the use of learning consulting services provided by Edyoucate Learning Solutions Limited], hereinafter referred to as "the Company." By engaging the Company's services, you agree to comply with and be bound by these Terms and Conditions.
Services
The Company offers learning consulting services, including but not limited to instructional design, curriculum development, training materials creation, and learning program evaluation. The scope of services will be outlined in a separate agreement or proposal.
Client Obligations
Clients are responsible for providing accurate and timely information, access to relevant resources, and cooperation throughout the engagement. Failure to meet these obligations may impact the delivery timeline and quality of services.
Fees and Payment
Clients agree to pay the fees as outlined in the engagement agreement or proposal. Payments are due according to the agreed schedule and method. Late payments may result in suspension of services and additional charges.
Intellectual Property
All materials, including but not limited to training content, curriculum, and instructional materials, developed by the Company remain the intellectual property of the Company unless otherwise agreed upon in writing. Clients may use these materials solely for the intended learning purposes and may not reproduce, distribute, or sell them without explicit permission.
Confidentiality
Both the Company and the Client agree to maintain the confidentiality of proprietary information, trade secrets, and any other confidential information shared during the engagement.
Termination
Either party may terminate the engagement for any reason by providing written notice. The Client will be responsible for payment of services rendered up to the termination date.
Limitation of Liability
The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of British Columbia, Canada, and any disputes will be subject to the exclusive jurisdiction of the courts in that jurisdiction.
Amendments
The Company reserves the right to modify, update, or amend these Terms and Conditions at any time. Clients will be notified of any changes, and continued use of the services will constitute acceptance of the revised terms.
By engaging the services of the Company, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you have any questions or concerns, please contact us for clarification before proceeding.
